Introduction
Tecborn, comprised of Tecborn TISC Ltda (Brazil) and Tecborn LLC (International), is a multinational company specialized in advanced industrial solutions. We value solid relationships with suppliers who share our principles of ethics, quality, innovation, and responsibility. This Supplier Policy establishes the criteria, duties, and guidelines that govern our global supply chain network.
Objective
- Define minimum standards of conduct, quality, and compliance;
- Guide the selection, qualification, and monitoring process of suppliers;
- Foster sustainable and long-term business relationships;
- Ensure that suppliers are aligned with Tecborn's values and with the legal and normative requirements of the markets where we operate.
Scope
Applies to all suppliers of products, inputs, components, equipment, technical and consulting services contracted by Tecborn, directly or indirectly, in Brazil and abroad.
Classification Criteria
- Legal, tax, and labor regularity in their jurisdiction;
- Financial soundness and technical capacity for industrial-scale service;
- Quality and management certifications (e.g., ISO 9001, ISO 14001, ISO 45001, IATF 16949, when applicable);
- Internal policies on ethics, integrity, and safety;
- Commitment to innovation, operational efficiency, and excellence in service.
Ethical Conduct and Integrity
- Act with honesty, transparency, and responsibility in all interactions;
- Prohibit any form of bribery, corruption, fraud, or undue favoring;
- Avoid conflicts of interest and communicate potential risks to the integrity of the business relationship;
- Respect human rights, including the prohibition of forced, child, or degrading labor;
- Promote practices of inclusion, diversity, and fair treatment in their operations.
Legal and Regulatory Compliance
- Relevant local and international legislation for their operation;
- International trade rules, such as sanctions, export control, origin of inputs, and trade treaties;
- Applicable anti-corruption laws (e.g., FCPA, UK Bribery Act, Brazilian Law No. 12,846/13);
- Technical standards of the industrial sector and environmental, health, and labor regulations;
- Data protection and privacy laws (such as LGPD and GDPR).
Sustainability and Socio-Environmental Responsibility
Tecborn prioritizes suppliers that adopt sustainable practices, such as:
- Reduction of environmental impacts and industrial emissions;
- Responsible waste management and efficient use of natural resources;
- Decarbonization initiatives, circular economy, and green innovation;
- Social, educational, or community projects in the regions where they operate.
Strategic suppliers may be invited to participate in ESG initiatives led by Tecborn.
Quality, Logistics, and Performance
- Strict adherence to technical specifications and quality standards;
- On-time deliveries with traceability and complete documentation;
- Agility in resolving non-conformities;
- Commitment to continuous improvement and innovation of production processes;
- Participation in periodic performance evaluations (KPI/SLAs), conducted by Tecborn teams.
Confidentiality and Intellectual Property
- Protect all technical, commercial, and strategic information shared by Tecborn;
- Do not disclose, reproduce, or use confidential materials without express authorization;
- Respect Tecborn's intellectual property, including projects, patents, trademarks, and technologies;
- Ensure that any content developed under contract is owned exclusively by Tecborn, unless specific contractual adjustment is made.
Subcontracting
The subcontracting of activities linked to the supply must be previously authorized in writing. The supplier remains fully responsible for:
- Compliance of subcontractors with this Policy;
- Quality of materials, services, and agreed deadlines;
- Security, confidentiality, and integrity of shared data and information.
Audits, Evaluation, and Monitoring
- Conduct technical, environmental, quality, or compliance audits;
- Request certificates, evidence, corrective action plans, or supporting documents;
- Reclassify or de-register suppliers with unsatisfactory performance or conduct incompatible with this policy.
Penalties and Termination
- Formal warning;
- Temporary suspension of supply or payments;
- Contractual termination for cause;
- Exclusion from the active supplier database;
- Reporting to competent authorities, when applicable.

Updates and Acceptance
This Policy may be revised at any time. The supplier will be informed through Tecborn's official channels and is responsible for staying updated. Acceptance of this policy is a mandatory condition for the commencement and maintenance of any business relationship with Tecborn TISC Ltda or Tecborn LLC.
